These Wholesale Terms & Conditions ("Terms") apply to all wholesale purchases made from Rotaris B.V., located at Ravenswade 110, 3439 LD Nieuwegein, The Netherlands, via the website www.rotaris-paint.com or through direct business agreements.
By placing a wholesale order, the buyer ("Wholesale Customer") agrees to the following terms.
1. Definitions
Rotaris
Rotaris B.V., registered in The Netherlands.
Wholesale Customer
A registered business entity such as a bicycle shop, distributor, service center, or brand purchasing products for resale or professional use.
Products
All Rotaris branded paint products, accessories, coatings, and related materials offered for sale.
2. Eligibility for Wholesale Accounts
Wholesale purchasing is available only to:
• Registered businesses
• Bicycle retailers or workshops
• Distributors or commercial resellers
• Bicycle manufacturers or OEM partners
Rotaris reserves the right to:
• Approve or reject wholesale applications
• Suspend or terminate wholesale accounts
• Require proof of business registration
3. Orders
Orders may be placed through:
• The Rotaris wholesale portal
• Email or direct agreement
• Approved distributors
All orders are subject to acceptance by Rotaris.
Rotaris reserves the right to:
• Refuse or cancel orders
• Limit quantities
• Correct pricing errors
Orders cannot be modified after processing.
4. Pricing
Wholesale pricing:
• Is confidential
• Is provided only to approved wholesale partners
• May change without prior notice
Prices are listed:
• Excluding VAT unless stated otherwise
• Excluding shipping costs
• Excluding import duties for international orders
Rotaris may introduce:
• Volume discounts
• Tiered pricing
• Special dealer promotions
5. Minimum Order Quantities
Rotaris may apply minimum order requirements, including:
• Minimum order value
• Minimum order quantity per SKU
• Minimum reorder quantities
These requirements may vary by product category or distribution region.
6. Payment Terms
Payment terms may include:
• Prepayment (default for new customers)
• Credit card / online payment
• Bank transfer
• Invoice terms (subject to approval)
Standard invoice terms (if approved):
Net 14 days
Late payments may result in:
• Suspension of further deliveries
• Late payment interest
• Collection costs
Ownership of goods remains with Rotaris until full payment has been received.
7. Shipping & Delivery
Rotaris ships worldwide from The Netherlands.
Delivery times depend on:

• Order volume
• Destination country
Shipping costs are calculated at checkout or quoted separately.
Rotaris is not responsible for delays caused by:
• Customs clearance
• Transport carriers
• Force majeure
Risk transfers to the buyer upon shipment.
8. Import Duties & Taxes
For international shipments outside the EU:
• The buyer is responsible for import duties
• The buyer is responsible for local taxes
• The buyer must comply with local regulations regarding chemical products
Rotaris cannot guarantee that products comply with regulations in every jurisdiction.
9. Product Use & Liability
Rotaris products are intended for:
• Professional repair of bicycle paint damage
• Bicycle maintenance and restoration
The buyer is responsible for:
• Ensuring proper use
• Following safety instructions
• Compliance with local chemical handling regulations
Rotaris shall not be liable for:
• Incorrect application
• Improper surface preparation
• Damage resulting from misuse
10. Returns & Claims
Claims for damaged or missing goods must be submitted within:
5 business days after delivery
Returns are accepted only if:
• Approved in advance by Rotaris
• Products are unused
• Original packaging is intact
Custom-made or color-matched products may not be returned unless defective.
Return shipping costs are the responsibility of the buyer unless the error was made by Rotaris.
11. Warranty
Rotaris warrants that products:
• Conform to product specifications
• Are manufactured according to quality standards
Due to the nature of paint color matching, Rotaris cannot guarantee:
• Perfect visual color match under all conditions
• Compatibility with previously damaged or repainted surfaces
Warranty is limited to product replacement or refund.
12. Intellectual Property
All Rotaris trademarks, product names, packaging designs, and marketing materials remain the property of Rotaris B.V.
Wholesale customers may:
• Use Rotaris marketing assets for product promotion
• Display Rotaris products for resale
Wholesale customers may not:
• Modify branding
• Repackage products without written permission
• Sell under private label unless agreed in writing
13. Online Resale
Wholesale customers may sell Rotaris products online unless otherwise agreed.
However, resellers must:
• Maintain accurate product descriptions
• Not misrepresent Rotaris products
• Respect recommended retail pricing guidelines if provided
Rotaris reserves the right to restrict sales on certain marketplaces if brand reputation is affected.
14. Termination of Wholesale Partnership
Rotaris may terminate wholesale access if a partner:
• Violates these terms
• Fails to pay invoices
• Misuses branding or intellectual property
• Damages brand reputation
Termination may occur without prior notice.
15. Force Majeure
Rotaris shall not be liable for failure or delay caused by:
• Natural disasters
• Supply chain disruption
• Government actions
• Transport disruptions
• Other events beyond reasonable control
16. Governing Law
These terms are governed by the laws of:
The Netherlands
Any disputes shall be resolved by the competent courts in The Netherlands.
